These Terms & Conditions (“Terms”) govern your access to and use of the website https://beringharbor.com (the “Site”) and the services provided by Bering Harbor LLC (“Bering Harbor,” “we,” “us,” or “our”).

By accessing the Site, submitting a form, purchasing leads, or using our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.


1. Acceptance of Terms

By accessing or using the Site or Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

If you are using the Services on behalf of a company, agency, brokerage, IMO, FMO, call center, or other organization, you represent that you have authority to bind that entity to these Terms.


2. Description of Services

Bering Harbor provides performance marketing and lead generation services focused on life insurance and related insurance products.

Our Services may include:

  • Generation of first-party life insurance and related insurance leads
  • Exclusive lead delivery to approved business clients
  • Lead qualification and filtering based on buyer-specified criteria
  • Real-time or near real-time lead delivery by email, Google Sheet, webhook, Zapier, CRM integration, API, or other agreed method
  • Lead source, timestamp, consent, and delivery documentation where available or configured
  • Customer support, account coordination, and test-batch management

Bering Harbor is not an insurance carrier and does not underwrite, issue, sell, or bind insurance policies. Bering Harbor provides lead generation and marketing services to approved lead buyers.


3. Lead Delivery Disclaimer

No Guarantees

While we strive to generate and deliver high-quality, exclusive leads, we make no guarantees regarding:

  • Lead conversion rates
  • Contact rates or response rates
  • Appointment rates
  • Quote rates
  • Policy approval, placement, or issuance
  • Persistency or retention
  • Revenue, profit, commissions, or return on investment
  • Lead volume or availability
  • Specific business outcomes or results

Lead performance depends on many factors outside our control, including your speed-to-lead, sales process, follow-up system, licensing, carrier fit, underwriting guidelines, pricing, offer competitiveness, call handling, compliance process, market conditions, and consumer behavior.

Lead Quality Standards

We may use qualification, validation, duplicate checking, source tracking, and consent documentation processes to support lead quality. However, we do not guarantee that every lead will meet your expectations, answer the phone, respond to outreach, request a quote, qualify for coverage, purchase a policy, or remain in force.

Exclusivity

Unless otherwise specified in a written agreement, lead delivery is intended to be exclusive to one approved buyer based on agreed routing criteria.

We do not knowingly resell or redistribute the same lead to multiple buyers. If you believe a lead was delivered to another buyer contrary to your agreement, contact us promptly at ivan@beringharbor.com for review.


4. Client Responsibilities

As a client or prospective client of Bering Harbor, you agree to:

  • Provide accurate information about your business, licensing, target states, lead criteria, product focus, volume needs, delivery method, and qualification requirements
  • Maintain all licenses, registrations, appointments, permissions, and authorizations required to sell, solicit, discuss, or market insurance products in the applicable jurisdictions
  • Use leads only for lawful insurance-related purposes consistent with the consumer’s inquiry and applicable consent
  • Contact leads promptly after delivery
  • Maintain a functional lead management process, CRM, dialer, email system, SMS system, or other workflow capable of receiving and handling leads responsibly
  • Comply with all applicable federal, state, and local laws, rules, and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), CAN-SPAM Act, state telemarketing laws, Do Not Call rules, insurance licensing laws, privacy laws, and consumer protection laws
  • Honor opt-out, unsubscribe, revocation of consent, and Do Not Call requests
  • Use lead data only for your own internal sales and follow-up process unless otherwise authorized in writing
  • Not resell, redistribute, transfer, post, share, or broker leads to third parties without our prior written consent
  • Protect lead information using reasonable administrative, technical, and physical safeguards
  • Treat consumer information confidentially and in accordance with applicable privacy and data protection laws
  • Maintain accurate records of your outreach, opt-outs, compliance practices, and consumer communications where required

You are solely responsible for your own sales practices, communications, licensing, regulatory compliance, disclosures, scripts, carrier suitability, underwriting process, and consumer interactions.


5. Payment Terms

Pricing

Pricing is determined based on lead type, geography, exclusivity, qualification depth, volume, delivery method, campaign feasibility, and other agreed criteria.

Specific pricing will be provided in a written quote, insertion order, service agreement, invoice, or other written arrangement between you and Bering Harbor.

Billing

Payment terms will be specified in your agreement or invoice. Arrangements may include:

  • Prepayment for a specified test batch or lead volume
  • Retainer or deposit-based lead delivery
  • Monthly invoicing based on leads delivered
  • Automatic billing by credit card, ACH, wire transfer, or another agreed method

Prepayment

Bering Harbor may require prepayment before launching a campaign, reserving lead volume, or delivering leads. Lead delivery may be paused if prepaid funds are exhausted or if required payment is not received.

Late Payment

Failure to pay invoices or maintain required prepaid balances may result in suspension or termination of Services.

We reserve the right to charge interest on overdue balances at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Taxes

You are responsible for all applicable taxes, duties, assessments, and government fees associated with your purchase of Services, except taxes based on Bering Harbor’s income.


6. Lead Credit and Refund Policy

Lead Credits

Bering Harbor may evaluate lead quality issues on a case-by-case basis. If a lead is demonstrably invalid due to one of the following, we may issue a credit or replacement lead after verification:

  • Incorrect, disconnected, or clearly invalid phone number
  • Fake, fraudulent, or nonsensical information
  • Duplicate delivery of the same lead to the same client
  • Lead does not meet agreed qualification criteria
  • Lead is outside agreed geography, product type, or routing rules
  • Technical delivery error caused by Bering Harbor or its systems

No Refunds or Credits for Non-Conversion

We do not issue refunds or credits simply because a lead:

  • Does not answer
  • Does not return calls
  • Is not interested after speaking with you
  • Does not qualify for coverage
  • Does not receive a quote
  • Does not purchase a policy
  • Cancels, lapses, or fails to keep a policy
  • Produces no commission, revenue, or profit
  • Was not contacted promptly by your team

Lead performance depends on factors outside Bering Harbor’s control.

Credit Request Window

All lead credit requests must be submitted within 7 days of lead delivery unless another timeframe is specified in writing.

You may be required to provide supporting documentation, such as call logs, timestamps, CRM records, screenshots, recordings, or notes sufficient for review.

No Automatic Credits

Submitting a credit request does not guarantee approval. Bering Harbor will review the request and determine whether a credit or replacement is appropriate based on the agreement, lead data, available records, and relevant circumstances.


7. Compliance and Consent

Bering Harbor may collect and maintain records related to lead source, form submission, timestamp, IP address, landing page, consent language, delivery details, and third-party consent documentation where configured.

However, you remain responsible for determining whether a lead may be contacted under applicable law and for ensuring that your communications comply with all legal and regulatory requirements.

You agree that you will not rely solely on Bering Harbor’s lead delivery as a substitute for your own compliance review, consent management, suppression list management, licensing review, or legal obligations.


8. Prohibited Uses

You may not use the Site or Services to:

  • Violate any law, regulation, licensing rule, or consumer protection requirement
  • Contact consumers in a misleading, deceptive, abusive, unlawful, or harassing manner
  • Resell, redistribute, transfer, or broker leads without written authorization
  • Use leads for unrelated products or services not connected to the consumer’s inquiry or applicable consent
  • Upload, transmit, or distribute malware, spam, or harmful code
  • Attempt to interfere with the Site, Services, tracking systems, forms, or lead delivery infrastructure
  • Misrepresent your identity, licensing status, carrier relationships, pricing, policy availability, or product terms
  • Use lead information to build competing data products, lists, or resale databases

9. Intellectual Property

All content, trademarks, logos, designs, copy, layouts, graphics, software, materials, and other intellectual property on the Site are owned by Bering Harbor or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, scrape, copy, sell, or otherwise use any content from the Site without our prior written consent.


10. Confidentiality

You may receive non-public information from Bering Harbor, including pricing, lead criteria, campaign strategy, lead sources, delivery logic, qualification rules, business processes, or other proprietary information.

You agree to keep such information confidential and not disclose it to third parties except as required to use the Services internally or as required by law.

Consumer lead data must also be treated as confidential and protected in accordance with applicable laws and these Terms.


11. Limitation of Liability

To the fullest extent permitted by law, Bering Harbor LLC and its owners, officers, directors, employees, contractors, agents, affiliates, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost commissions, loss of data, loss of business opportunities, reputational harm, regulatory penalties, or loss of goodwill arising out of or related to your use of the Site or Services.

Our total liability for any claim arising out of or related to these Terms, the Site, or the Services shall not exceed the amount you paid to Bering Harbor in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some limitations may not apply to you.


12. Indemnification

You agree to indemnify, defend, and hold harmless Bering Harbor LLC and its owners, officers, directors, employees, contractors, agents, affiliates, and service providers from and against any claims, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of the Site or Services
  • Your violation of these Terms
  • Your violation of any applicable law, rule, regulation, licensing requirement, or industry standard
  • Your communications with consumers or leads
  • Your use, misuse, resale, redistribution, or handling of lead information
  • Your violation of any consumer privacy, telemarketing, TCPA, Do Not Call, email, SMS, insurance, or consumer protection law
  • Any claims brought by consumers, regulators, carriers, vendors, or third parties related to your use of leads
  • Your negligence, misconduct, or unauthorized acts

13. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without cause, and with or without notice.

You may stop using the Services at any time by contacting us at:

Upon termination:

  • Your access to Services may cease
  • Lead delivery may stop
  • You remain responsible for outstanding payments
  • You must continue protecting consumer lead data
  • Provisions that by their nature should survive termination will remain in effect, including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution provisions

14. Modification of Terms

We may update these Terms from time to time. When we make changes, we will update the Effective Date at the top of this page.

Your continued use of the Site or Services after updated Terms are posted constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Site and Services.


15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise prohibited by law.

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, confidential information, or data security rights.

You waive any right to participate in a class action lawsuit, class arbitration, private attorney general action, or other representative proceeding to the fullest extent permitted by law.


16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.


17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable written service agreement, insertion order, invoice, or quote, constitute the entire agreement between you and Bering Harbor regarding the Site and Services and supersede all prior or contemporaneous agreements, understandings, and communications.

If there is a conflict between these Terms and a separately executed written agreement, the separately executed written agreement will control to the extent of the conflict.


18. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

No waiver shall be effective unless made in writing and signed by an authorized representative of Bering Harbor.


19. Assignment

You may not assign or transfer these Terms or your rights or obligations under these Terms without our prior written consent.

We may assign these Terms without restriction, including in connection with a merger, acquisition, sale of assets, restructuring, or transfer of business operations.

Any attempted assignment in violation of this section is void.


20. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, carrier disruptions, platform outages, advertising account restrictions, internet failures, payment processor issues, data provider issues, or failures of third-party services.


21. Headings

Section headings are included for convenience only and have no legal or contractual effect.


22. Electronic Communications

By using the Site or Services, you consent to receive electronic communications from us.

These communications may include notices, agreements, disclosures, invoices, account updates, service communications, and other information.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.
